a. an option issued to David Levison to acquire up to 225,000 Ordinary Shares
in the Company on the Terms of Issue set out below.
b. options issued to certain employees of Pacific Edge Diagnostics USA
Limited ("PEDUSA") (a wholly owned subsidiary of the Company) to acquire up
to 160,000 Ordinary Shares in the Company on the Terms of Issue set out
below.
Issued Capital Subsequent To Issue (Total Issued Capital): 381,738,061
Class of Security Issued: Option to acquire Ordinary Shares.
Issue Price: Issue price of $0.60 per share payable in cash on the issue of
Ordinary Shares to the relevant option holder pursuant to the exercise of
their Options.
Percentage Issued: N/A
Terms of Issue:
a. Any shares issued on exercise of the Options will rank pari passu with the
existing ordinary shares in the Company.
b. In respect of David Levison''s options, subject to the continuous
directorship of David Levison with the Company, one third of the Options
available to David Levison will vest in David Levison each year, on the first
three anniversaries of the commencement date of his directorship with the
Company. If David Levison''s directorship with the Company ceases for any
reason then he will receive a fractional entitlement based on his length of
service during the relevant year.
c. In respect of the PEDUSA employees, subject to the continuous employment
of the relevant PEDUSA employee, one third of the Options available to the
relevant PEDUSA employee will vest in each employee each year, on the first
three anniversaries of the commencement date of each PEDUSA employee''s
employment with PEDUSA. If their employment with PEDUSA ceases then they
will receive a fractional entitlement based on their length of service during
the relevant year.
Reason: Pursuant to section 49 of the Companies Act 1993 and Listing Rule
7.3.6.
