Item 7.01 Regulation FD Disclosure.

As previously disclosed, in December 2016, the Board of Directors of Emerson Radio Corp. (the “Company”) approved the repurchase of up to $5 million of the Company’s common stock under a new stock repurchase plan. The repurchases may be effected from time to time at prevailing market prices, through open market or in privately negotiated transactions, which may include, in whole or in part, the establishment of a purchase program pursuant to the safe harbor provided by Rule 10b5-1 under the Exchange Act, through block purchases or through accelerated or forward or similar stock purchases. In September 2017, the Company’s Board of Directors approved an additional $5 million, bringing the total authorized stock repurchases under the program to $10 million and extended the program to June 30, 2018. Through December 31, 2017, the Company has repurchased approximately $4.7 million of the Company’s common stock under the program at an average price of $1.46 per share.

On March 8, 2018, during a call with a shareholder, a representative of the Company unintentionally disclosed that the Company’s stock repurchase program currently has a price ceiling of $1.50 per share.
