Rickmers Maritime : Announcement Pursuant To Rule 728 Of The Listing Manual

Rickmers Trust Management Pte. Ltd., as trustee-manager of Rickmers Maritime (the "Trustee- Manager") refers to the announcement dated 28 October 2011 regarding the disclosure pursuant to Rule 704(31) of the Listing Manual of Singapore Exchange Securities Trading Limited. The Trustee- Manager further refers to Rule 728 of the Listing Manual of Singapore Exchange Securities Trading Limited.
As at 31 October 2011, Mr. Bertram R.C. Rickmers is deemed interested, through his interest in Rickmers Holding GmbH & Cie. KG ("Rickmers Holding") in 140,229,000 issued units of Rickmers Maritime ("RM"), representing approximately 33.10% of the total issued unit capital of RM as at such date. As at 31 October 2011, Mr. Bertram R.C. Rickmers is also deemed interested, through his interest in Rickmers Holding in 250,000 issued shares of Rickmers Trust Management ("RTM"), representing 100% of the total issued share capital of RTM as at such date.
The Trustee-Manager wishes to announce that it has received an undertaking from Mr. Bertram R.C. Rickmers that for so long as he is a controlling shareholder of RM and RTM, he will notify and procure that Rickmers Holding, Rickmers Second Invest GmbH, Polaris Shipmanagement Company Limited and Rickmers First Invest GmbH will notify the Trustee-Manager, as soon as any of them becomes aware of the details of any share pledging arrangement (or other arrangements having similar legal or economic effect) relating to the abovementioned unitholding and/or shareholding; and any event which may result in a breach of the terms of the loan agreements entered into by RM and its subsidiaries.
