whether we were interested in merging. Effectively it would have been a back
door listing for this company. Non-Disclosure agreements were signed. Some
information was disclosed. The discussions meandered for a while.

Cancellation of shares held as treasury stock
Renaissance Corporation Limited (NZX: RNS) advises that it has today
cancelled, under section 67A(3) of the Companies Act 1993, 604,470 ordinary
shares that have been held as treasury stock by the Company after they were
acquired from Mr Paul Johnston on 19 December 2011. As a consequence, the
company now has 43,604,050 shares on issue.

Renaissance Corporation appoints Donovan Smith as Chief Financial Officer
Renaissance Corporation Ltd has appointed Donovan Smith to the position of
Chief Financial Officer, effective 24 January 2013.
Smith originally joined Renaissance Corporation in 2010 and has held a number
of senior finance and management roles within the group.
