Pyne Gould Corporation ("PGC") said today that there has been a settlement in
a dispute with Wilaci Pty Limited ("Wilaci") over late payment fees.
The dispute was between the Torchlight Fund No 1 LP ("TLF1" - a former
associate of PGC placed into receivership in 2014), Torchlight Fund LP
("TFLP") and Wilaci, which is an entity connected with Australian businessman

Pyne Gould Corporation ("PGC") has confirmed that its Board includes two
independent directors as required under NZX Listing Rules.
Under Listing Rule 3.3.3(a) the Board is to determine within 10 business days
of the annual general meeting ("AGM") which of the directors appointed at the
AGM are independent. This determination needs to be released to the market.

PGC Board considers impact of Wilaci fee decision
Pyne Gould Corporation ("PGC") said today that while it is yet to be
determined whether any payment will be required, it will recognise a
potential contingent liability in its full year accounts for 2016-17 as a
result of the Wilaci appeal judgement.
This comes after the New Zealand Supreme Court last week refused leave to the
Torchlight Fund No 1 LP (
