Mercer Group Limited hereby discloses, in respect of the issue of ordinary
shares under the renounceable rights issue of up to 701,933,504 ordinary
shares contained in Mercer Group Limited''s rights offer document dated 1
November 2016 including the underwriting agreement between Mercer Group
Limited and Asset Management Limited (the "Underwriter") as approved by the
shareholders at the annual general meeting on 18 October 2016 (the
"Underwriting Agreement"), as follows:
(a) ISIN: NZBWYE0001S7.
(b) Class of security issued: ordinary shares.
(c) Number issued: 701,933,504.
(d) Issue price: NZ$0.01 per ordinary share.
(e) The issue price for the ordinary shares was required in full in cash on
subscription.
(f) The percentage of the total ordinary shares issued: 69.23%.
(g) The reason for the issue of the ordinary shares: The renounceable rights
issue of up to 701,933,504 ordinary shares contained in Mercer Group
Limited''s rights offer document dated 1 November 2016 and the Underwriting
