NOTICE OF DESPATCH PURSUANT TO RULE 45 OF THE TAKEOVERS CODE
1. We refer to the takeover notice given by Bapcor Finance Pty Ltd (Bapcor)
to Hellaby Holdings Limited (Hellaby) dated 27 September 2016 in relation to
Bapcor''s intention to make a full takeover offer for all of the equity
securities in Hellaby (the Offer).
2. Bapcor hereby gives notice pursuant to Rule 45 of the Takeovers Code that
it has today despatched the Offer Document in respect of the Offer to holders
of Hellaby''s equity securities in accordance with Rule 43(1) of the Takeovers
Code.
3. Pursuant to Rule 45(1)(a)(ii) of the Takeovers Code, a copy of the Offer
Document is enclosed with this notice.
