The following Resolutions were put to poll and passed at the Annual Meeting
of Smiths City Group Limited and its shareholders held on Thursday 8
September 2016:
? To elect Mr T D Allison as a Director.
? To re-elect Mr C D Boyce as a Director.
? To re-elect Mr G R Rohloff as a Director.
? To record the appointment of KPMG as auditors and authorise the Directors
to fix their remuneration.
INDEPENDENCE OF DIRECTORS
The company has determined that Messrs J D Dobson; G R Rohloff; T D Allison
and Ms S M Henderson are Independent Directors.
