Partly paid share scheme - redemption and cancellation of shares and
cancellation of scheme
Cancellation of options
New Image Group Limited ("New Image") operates an employee share scheme known
as the New Image Group
Partly Paid Share Scheme under a trust deed dated 20 November 2008 (the
"Scheme").
Pursuant to the Scheme and in accordance with the waiver from Listing Rule
7.6.1, New Image redeemed and
cancelled 8,730,000 partly paid ordinary shares held by the Scheme''s trustee,
New Image Share Scheme Trustee
Limited, in accordance with the terms of redemption of those shares on 20
December 2011.
With no further employees now benefiting from the Scheme, New Image has
decided to wind up the Scheme.
On 19 June 2008, New Image issued to Protocol Limited 3.2 million options to
purchase ordinary shares in New
Image which was in connection with the joint venture company, Primary
Nutrition Limited. On 20 December 2011,
Protocol Limited and New Image have agreed to cancel these options.
